Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Handiwork platform and related services (the “Service”) operated by Handiwork LLC (“Handiwork”, “we”, “our”, or “us”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Handiwork LLC provides a software platform designed to help trade and field service businesses manage operational workflows, including job management, invoicing, and related business processes. The Service is provided as software tools only.

The platform may allow businesses using the Service to generate invoices and accept payments from their customers through integrations with third-party payment processors.

Handiwork does not provide trade, construction, or field services and is not a party to agreements between businesses using the platform and their customers. Any services provided to customers by businesses using the Service are the sole responsibility of those businesses.

The features and functionality of the Service may change from time to time as the platform evolves.

These Terms apply to all users of the Service, including individuals and organizations that create accounts, use the platform to manage their operations, or make payments through invoices generated using the Service.

2. Description of the Service

Handiwork provides a software platform that enables trade and field service businesses (“Businesses”) to manage operational workflows, including job management, project tracking, customer records, invoicing, and related business activities.

The Service allows Businesses to generate invoices and accept payments from their customers through integrations with third-party payment processors. In certain cases, payments made by customers may be processed through the Handiwork platform before funds are remitted to the applicable Business, including for the purpose of collecting platform fees.

Payment processing services are provided by third-party providers such as Stripe and are subject to the terms and conditions of those providers.

Businesses authorize Handiwork to instruct payment processors to process payments, deduct applicable fees, and facilitate payouts in accordance with the operation of the Service.

Handiwork may rely on third-party service providers to deliver portions of the Service, including infrastructure hosting, payment processing, communications services, and other technology services.

Handiwork provides software tools that facilitate these activities but does not provide trade services, construction services, or other field services performed by Businesses. Businesses are solely responsible for the services they provide to their customers.

Handiwork is not a party to agreements between Businesses and their customers.

The Service and its features may be updated, modified, or discontinued from time to time.

3. Accounts

To access certain features of the Service, a Business must create an account.

Accounts are created on behalf of a business or organization. The individual creating the account represents they have authority to bind the Business.

A Business may authorize employees, contractors, or representatives (“Authorized Users”) to access the Service.

The Business is responsible for all activity conducted through its account.

Users must be at least 18 years old to create or use accounts.

Businesses are responsible for managing user roles and permissions.

Data created in the Service is associated with the Business account that created it.

Handiwork may suspend or terminate accounts that violate these Terms or harm the Service.

4. Fees and Billing

Certain features of the Service may require payment of fees.

Handiwork may charge transaction-based platform fees for payments processed through the Service.

Handiwork’s platform fee is 3% of each payment processed through the Service, capped at $79 per calendar month per Business. The calendar month is determined by the Business’s local timezone as configured in the Service. Once a Business reaches the monthly cap, no further platform fee applies to that Business’s payments for the remainder of that calendar month. The platform fee is deducted from the Business’s payout; it is not billed to the Business separately.

Payment processor fees may also apply and are the responsibility of the Business.

When a customer pays an invoice through the platform, Handiwork may deduct applicable platform fees and payment processing fees before remitting funds to the Business.

When a Business issues a refund, Handiwork returns the platform fee it collected on the refunded amount, and the refunded amount does not count toward that Business’s monthly fee cap. Payment processor fees are set by the payment processor and are not returned by Handiwork or the processor when a refund is issued.

Businesses are responsible for the full amount of any payment dispute or chargeback and for any dispute fees charged by the payment processor, regardless of whether the dispute is won or lost. Processor dispute fees are passed through to the Business at the processor’s cost.

If a refund, dispute, or chargeback results in a negative balance owed to Handiwork or the payment processor, Handiwork may withhold future payouts to the Business to recover that balance and may recover it directly from the Business’s connected payment account or linked bank account.

Handiwork may modify pricing at any time. Continued use of the Service constitutes acceptance of updated fees.

Handiwork may hold or delay remittance of funds when reasonably necessary to investigate fraud, disputes, or compliance obligations.

Handiwork may pause or withhold payouts to a Business while a dispute is open, during a new account’s initial hold period, while a negative balance is being recovered, or when fraud is suspected.

Handiwork may suspend a Business’s account for suspected fraud or for a balance owed to Handiwork that remains unrecovered.

Handiwork may establish payout schedules, minimum payout thresholds, reserve requirements, or other remittance conditions.

Handiwork acts solely as a payment facilitator and does not assume any fiduciary or trustee obligations with respect to funds processed through the Service.

5. Payment Processing and Financial Services

Payment processing services used in connection with the Service are provided by third-party processors.

Handiwork may route transactions through one or more payment processors.

Handiwork is not a bank, financial institution, or money transmitter.

Businesses are responsible for complying with payment processor requirements, including identity verification and compliance obligations.

Handiwork is not responsible for the availability or actions of third-party payment processors.

Handiwork may suspend payment functionality where required by processors, financial institutions, or law.

6. Acceptable Use

Users must use the Service only for lawful purposes.

Users may not:

  • Process payments for illegal goods or services
  • Commit fraud or deceptive practices
  • Attempt to bypass platform fees
  • Interfere with platform security or operations
  • Access accounts or systems without authorization
  • Upload malicious software
  • Violate the rights of other users

Businesses may not process transactions that violate payment processor policies or applicable financial regulations.

Handiwork may remove content that violates these Terms.

Handiwork may suspend or terminate accounts suspected of violations.

7. Intellectual Property

The Service, including the platform, software, designs, interfaces, and technology, is owned by Handiwork or its licensors.

Handiwork grants Businesses a limited, non-exclusive, non-transferable license to use the Service for internal business purposes.

Users may not:

  • Copy or reproduce the platform
  • Reverse engineer the Service
  • Develop competing services
  • Remove proprietary notices

Businesses retain ownership of data they submit to the Service.

Businesses grant Handiwork a worldwide license to host, store, process, transmit, analyze, and display such data as necessary to operate, maintain, analyze, and improve the Service.

Handiwork may freely use user feedback or suggestions.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis.

Handiwork disclaims all warranties including merchantability and fitness for a particular purpose.

Handiwork does not guarantee uninterrupted, secure, or error-free operation.

Handiwork does not guarantee that the Service will meet the specific needs of any Business.

Handiwork does not guarantee accuracy of invoices, payment records, or other data.

Handiwork is not responsible for actions of businesses, customers, or third-party providers.

Businesses use the Service at their own risk.

9. Limitation of Liability

Handiwork will not be liable for indirect, incidental, consequential, or punitive damages including lost profits, revenue, or business opportunities.

Handiwork’s total liability will not exceed the greater of:

  • $100, or
  • The total fees paid to Handiwork during the preceding 12 months.

These limitations apply regardless of legal theory.

10. Indemnification

Businesses agree to defend, indemnify, and hold harmless Handiwork from claims arising from:

  • Use of the Service
  • Services provided by the Business
  • Violations of these Terms
  • Violations of law or third-party rights

Handiwork may assume control of the defense of any indemnified claim.

These obligations survive termination.

11. Termination

Businesses may stop using the Service by discontinuing access.

Handiwork may suspend or terminate access at any time and for any reason.

Handiwork may also terminate accounts when required by payment processors, financial institutions, or law.

Handiwork will not be liable for damages resulting from termination of access to the Service.

Handiwork may delete, retain, or anonymize account data following termination.

Certain provisions survive termination including liability limitations and indemnification.

12. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Colorado.

Any dispute arising from these Terms will be resolved through binding arbitration rather than court litigation, except for claims that may be brought in small claims court.

Arbitration will be conducted in accordance with applicable arbitration rules and will take place in Colorado unless otherwise required by law.

13. Changes to Terms

Handiwork may update these Terms at any time.

Handiwork may also modify or discontinue features of the Service.

Updated Terms become effective when posted.

Continued use of the Service constitutes acceptance of the updated Terms.

Handiwork may require users to accept updated Terms before accessing the Service.
